Our purpose
You will be part of the largest skills development fund in Pakistan. PSDF’s purpose is to shape the future and well-being of our poor and vulnerable youth by giving them access to skills training of the highest standard so they can find sustainable employment and income-generating opportunities in Pakistan and beyond.
The impact we have created
PSDF started its operations in the 4 poorest districts of Punjab. Since 2016, the geographical remit has expanded to the entire 36 districts of Punjab and other districts of Sindh, Balochistan & KPK. PSDF has trained almost 600,000 underprivileged youth across Punjab. These graduates have been trained in approximately 250+ demand-driven and market-relevant trades across 8 sectors.

How The Role Looks Like
The Company Secretary will serve as a key governance professional at Punjab Skills Development Fund (PSDF), ensuring the Board of Directors, its committees, and senior management comply with statutory, regulatory, and corporate governance requirements. This role acts as the principal liaison between the Board, management, and other stakeholders.
The incumbent will play a vital role in supporting the Board’s effectiveness, enhancing governance structures, maintaining statutory compliance, and safeguarding the organization’s reputation as a transparent, accountable, and well-governed entity.
What Do We expect you to achieve?
Key Responsibilities
Board & Governance Support
- Serve as the principal advisor to the Board of Directors and Committees on governance, statutory responsibilities.
- Prepare and circulate agendas , and minutes of meetings in a timely and accurate manner.
- Ensure effective communication and coordination between the Board, Committees, and senior management.
- Maintain the Board calendar and track compliance with Board/Committee resolutions and action items.
Statutory & Regulatory Compliance
- Ensure PSDF’s compliance with all applicable laws, regulations, and directives issued by SECP, Companies Act 2017, and relevant donors/sponsors.
- Maintain statutory registers, records, and filings in accordance with regulatory requirements.
- Liaise with external regulators, auditors, legal advisors, and government departments as required.
- Monitor changes in relevant legislation and governance practices, advising the Board and management on implications.
Corporate Governance & Risk Management
- Uphold best practices in corporate governance and ethical standards within PSDF.
- Ensure effective implementation of governance frameworks, policies, and procedures across the organization.
- Support the Board in managing conflicts of interest, related-party transactions, and risk oversight.
- Assist the Board in annual self-assessments, performance evaluations, and succession planning.
Stakeholder Relations
- Act as the custodian of stakeholder records and ensure compliance with donor/sponsor requirements.
- Facilitate annual general meetings ,extraordinary general meetings, and communication with key stakeholders.
- Ensure transparent and accurate disclosures in the organization’s annual reports, governance statements, and donor reports.
Secretarial & Administrative Duties
- Safeguard organizational documents, contracts, and corporate records.
- Provide guidance to management on corporate legal matters.
Support CEO and senior leadership in implementing Board directives
Are You Right Fit For The Job?
Qualifications & Experience
- Member of a recognized body of professional accountants; or
- Member of a recognized body of corporate or chartered secretaries; or
- Person holding a master degree in business administration or commerce or being a law graduate from a university recognized by the Higher Education Commission.
- Minimum 8–12 years of professional experience, with at least 5 years in a senior secretarial/governance role in a large organization or development sector entity.
- In-depth knowledge of the Companies Act 2017, SECP regulations, corporate governance codes, and donor compliance requirements.
- Experience in liaising with Boards, regulators, and senior management.
- Excellent drafting, minute-taking, and record-keeping skills.
Skills & Competencies
- Strong understanding of governance, risk management, and compliance frameworks.
- Excellent organizational and communication skills (written and verbal).
- High integrity, discretion, and ability to handle confidential matters.
- Strong interpersonal skills to engage with Board members, regulators, and external stakeholders.
- Attention to detail, accuracy, and process orientation.
